Terms and Conditions - Before and After Placing Orders

These terms and conditions (the "Agreement") govern the rights and responsibilities of the customer ("Customer") and Brand Name Distributors ("Distributor") both before and after placing orders. By placing an order with the Distributor or engaging in any pre-order activities, the Customer agrees to be bound by this Agreement. Please read these terms and conditions carefully before proceeding.

  1. Product Information: a. The Distributor strives to provide accurate and up-to-date product information, including descriptions, specifications, pricing, and availability. However, the Customer acknowledges that such information may be subject to change without notice. b. The images and illustrations of products on the Distributor's website or promotional materials are for reference only, and the actual products may vary in appearance.
  2. Placing Orders: a. By placing an order, the Customer represents and warrants that they are legally authorized to make purchases and that all information provided is accurate, complete, and current. b. The Distributor reserves the right to accept or decline any order at its discretion. If an order is declined, the Distributor will notify the Customer and provide a reason if possible.
  3. Order Confirmation: a. Upon receiving the order, the Distributor will send an order confirmation to the Customer's provided email address or contact number. b. The order confirmation will include details such as the order number, item(s) ordered, quantity, price, shipping address, and estimated delivery date.
  4. Pricing and Payment: a. The prices displayed on the Distributor's website or communicated through other channels are subject to change without notice, except for orders already confirmed. b. The Customer agrees to pay the total amount stated in the order confirmation, including product price(s), applicable taxes, shipping charges, and any other fees. c. Payment must be made in the currency specified by the Distributor and through the available payment methods, as provided during the checkout process.
  5. Product Availability: a. The Distributor strives to maintain accurate and up-to-date inventory levels; however, availability of products is subject to change without notice. b. In the event that a product becomes unavailable after the order is placed, the Distributor will notify the Customer and provide alternatives or issue a refund for the unavailable item(s).
  6. Delivery and Shipping: a. The Distributor will make reasonable efforts to deliver the ordered items within the estimated delivery timeframe communicated to the Customer. However, delivery dates are not guaranteed and may be subject to unforeseen delays. b. Shipping costs and any applicable customs duties or import taxes are the responsibility of the Customer unless otherwise stated. c. Risk of loss or damage to the ordered items transfers to the Customer upon delivery. It is the Customer's responsibility to inspect the delivered products and promptly notify the Distributor of any issues.
  7. Returns and Refunds: a. The Distributor has a return policy that specifies the eligibility and process for returning products. b. If the Customer wishes to return an item, they must notify the Distributor within a specified timeframe from the date of delivery. c. Refunds will be issued in accordance with the Distributor's refund policy, which may include deducting applicable restocking fees or return shipping costs.
  8. Intellectual Property: a. All intellectual property rights, including trademarks, logos, copyrights, and other proprietary information, displayed on the Distributor's website or products, remain the exclusive property of the respective owners. b. The Customer agrees not to use, reproduce, modify, or distribute any intellectual property owned by third parties without prior written consent.
  9. Limitation of Liability: a. The Distributor shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of its products or services, unless caused by the Distributor's gross negligence or willful misconduct. b. In no event shall the Distributor's total liability exceed the amount paid by the Customer for the specific product(s) or service(s) giving rise to the claim.
  10. Governing Law and Jurisdiction: a. This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. b. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
  11. Amendments and Severability: a. The Distributor reserves the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on the Distributor's website or other channels. b. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

By placing an order or engaging in any pre-order activities, the Customer acknowledges that they have read, understood, and agreed to these terms and conditions.
